I did some revising, and Im sticking with my 8800Ultra :) Critique eh? Im heading to class right now, but I appreciate the responses, especially about the mobo/cpu. I didnt realize that other mobo wasn't the latest chipset, and that the E6750 is actually cheaper than the E6600 haha

Im going to stick to stock cooling with the cpu, I dont plan to overclock or anything right now, so I figured it should suffice right?

2. Trade ultra for gtx and use $ difference to get 6850 instead...299 for it vs. 199 for the 6750... gtx difference is 499 vs. 599 for ultra. Unless you've got a 30 inch flat panel you aren't going to be seeing 100$ of performance from that 8800ultra upgrade, but if you don't intend to overclock, going from 2.66 to 3ghz stock is a good thing(tm). The 8800gtx is a fucking beast, man. I love mine :)

The PC Power & cooling is fucking sick. 6 sata connectors, 2 pci-e connectors, 3 year warranty. 49 amps on it's 12v rail...
