id Software Lawsuit
by Maarten Goldstein, Sep 27, 2005 3:11pm PDTAccording to a subscription-only story on the Wall Street Journal website, id software co-founder Adrian Carmack has filed a lawsuit against the Mesquite, Texas based developer following his dismissal from the company earlier this year. According to Carmack, he was fired by the other owners after he wouldn't take a $20 million buyout offer, and contends id turned down an acquisition offer from Activision just to get his shares for a lower price. This supposed Activision offer, made last year, offered id Software $90 million for the rights to Quake, DOOM and Wolfenstein and supposedly Activision was considering a $105 million bid for the entire company as well. According to the court filing, Carmack claims his share would've been 41%. Thanks Blues News.

Everyone talks like AC going against Doom III was a bad thing. Hate to break it to you but as far as actual gaming goes, Doom III sucks. Sure its a cool tech demo but gameplay is boring, graphics are bland, (Id really needs to hire a non color blind designer), and the games just not that much fun when compared to the majority of other games out there. So imo AC was right about saying lets not make another Doom.
But still anyone saying AC is wrong, is wrong. He owns 41% share of the company. One guy says he will give you $40 million for it and another says nah you can only get $10 million what would you think. I for one would be pissed as all get out. Especially with the talk of JC retireing and more, there is something called common sense, selling before things get bad and start dropping to low low prices is using common sense. Waiting till the main developer leaves and the company is worth 1/10 what it was is not. So AC trying to get the most out of his shares is not a bad thing. Anyone with any sense can see Id is not what it was, and will probably never be again. Why? Games like Half Life II and the New Unreal Engine are dominating the market when compared to anything Id is putting out. Its obvious they dont have the creative talent to compete with these other companies, sure technologically speaking they are very good, but creatively speaking they are not.
Bottom line on this is the other guys at Id are trying to rip AC off and imo its lame and low. This guy has been there to help make Id what it is, just because hes trying to profit from it does not make him a bad guy. I dont care wht you think a game company is, what it actually is, is a business. Just consider how many dont make it, how many sequels get canned, how many companies go belly up. So you can argue creative whatever till the cows come home, it does not change the fact that it is a business. And AC trying to make a fair profit based on what Id is worth, worth is determined by what someone is willing to pay for something, so if someone is willing to pay $100 million the Id is worth $100 million.
Its exactly like this, I go up to you and say I will give 20k for your car. A friend of yours owns half the car and he says its only worth 5k and thats all your going to get. Thing is that friend is going to turn around and sell it to me as soon as you sell it to him. Its a ripoff, nothing more, nothing less and JC and crew should be ashamed.

1) Activision offers a buyout. This is not all that surprising, considering the amount of IP associated with id.
2) Everyone except Adrian agrees to politely decline the offer. This would be in keeping with id's previous attitudes towards becoming a larger, more diverse development house (i.e., they've heard of the idea, but want nothing to do with it). This also explains why nobody on the outside ever heard a word about the offer.
3) Adrian vehemently argues in favor of the buyout, creating internal strife within the company.
4) Other stakeholders in the company offer to buy Adrian out. He refuses.
5) Because of continued dissatisfaction on Adrian's part, and his refusal to be bought out by other stakeholders, he's "fired" (whatever that means when the fire-ee holds a significant stake in the company).
6) Adrian is still pissed that the buyout isn't happening, and so sues id.
May be the way things happened, may not be. It just seems like the most likely scenario to me, based on the general id attitude towards turning more "big business".

Obviously he thinks his share is worth more than the offer. I don't see that id has any interest in giving AC a "fair" value. They have him by the balls anyway. They could offer him a ball of lint if he is bound to sell by contract, it would seem.
AC probably has a good argument that id's offer of 20mil is not "fair" purely due to the offer from Activision. That offer establishes a reasonable overall value for the company. Really from TFA, it sounds like AC has a good point, if nothing else.
To me, 20mil for 41% share in id sounds lowball.
