Napster vs Offspring

It looks like Napster has sent a legal letter (more info here) of their own against Offspring (the music group). Offspring has been noted previously as a voiced support of Napster and MP3 trading online. Here ya go:
...to the Offspring with a legal order Friday (June 2) to stop selling merchandise imprinted with the Napster logo, [snip] "It's all fair," an Offspring source said on Thursday. "We've already said you guys [can use] our stuff we're gonna do yours, too. You shouldn't have any problem with that, should you?"Quite amusing. Here is the Offspring website where they are selling the 'bootleg merchandise' 6pm update: FreshView dug up this update on MTV.com with word that they have reached an agreement.

On the WAIS-R I am off the scale (which only goes to 150), but I took another test of which I cannot recall the exact name and scored 171.
Why am I posting this? Well to explain that I have elaborate a bit:
I found that score out years ago and I never tell anyone because:
A. Nobody would believe it.
B. I would get made fun of when I made mistakes.
C. Nobody really cares anyways.
I once told a friend at a former job and he promptly asked me what the square root of some impossibly huge number was. I just stared at him and he told me I was a liar.
So why am I posting it now? I dunno.
Because I don't give a shit, because I am kind of secretly proud of it and want to tell -someone-, Because this is The Shack, and whatever happens here doesnt fucking matter anyways.
Bah, The real reason is that as soon as everyone knows, I will instantly be elevated to godlike status (well more godlike) and the mere act of me taking a stance on a subject will be enough to quell any arguments to the contrary.

The way I see it is this:
Napster will lose in the eyes of a judge because although they have a disclaimer saying thier software is not to be used illegally, they are in fact knowingly allowing users to commit a crime, and are not actively trying to disuade or even prevent such actions from taking place.
Even if Napster are not forced to cease providing thier service, they will be required to either a) police the traffic that thier software generates, or b) ban all users that are known to trade copyrighted material and cannot prove they own the original recording.
Of course either outcome will result in Napster being unable to continue because we all know that illegal mp3's account for a good 99% of all Napster traffic, and without that volume of traffic they will recieve no revenue.

They're not going to "lose" anything. They'll eventually be transformed (pressured) into a good little company exploiting that illgotten userbase. That's a good thing.

Technically it is almost exactly the same except that Napster only indexes files that have an mp3 extension.
Of coarse the law doesn't always make sense, but this is just too clear cut.
Ok, lets put it this way. If you were going to put it in terms, WHAT precisely is Napster doing that is illegal?

#1 We have drive through liquor stores in Kansas (at least we have one in Pittsburg).

There is no legal ground by which Napster could loose this lawsuit.
There are very few technical differences between Napster and a Web search engine, and the differences that are there, are irrelevant.
True, the public at large sees them as breaking the law, but the public at large isn't going to be deciding the case.
What is the court going to do? Decide that index's are required to police the content they are refering to? Ahem. yeah, right.. excuse me while a few -small- companies (AOL, Yahoo, Excite, Altavista.. etc. etc.) bring their resources to bear on this.
Technically, Napster is a search engine and a file transfer protocol wrapped into one. Neither of which breaks the law.
